Here are the two biggest game-changers:
A Major Win for Tenants: The Commercial Rent Tax is Repealed. In a landmark move, Florida has eliminated the state sales tax on commercial leases, effective October 1, 2025. This represents a direct, bottom-line cost saving for any business that leases office, retail, or industrial space. It makes Florida an even more attractive place to operate and removes a unique operating expense that has long been a burden on tenants.
A New Era for Non-Competes: The CHOICE Act. Effective July 1, 2025, this new law dramatically strengthens protections for employers. For certain higher-earning employees, it allows for enforceable non-compete agreements of up to four years without a geographic restriction. This has profound implications for M&A:
For Sellers: A business with well-drafted, CHOICE Act-compliant non-competes for its key employees is now significantly more valuable and less risky to a buyer. It's a powerful tool to protect your company's goodwill.
For Buyers: This law makes it much more difficult to hire key talent away from competitors. It also elevates the importance of securing a robust non-compete from the selling owner as part of the deal.
